Terms & Conditions
Effective date: March 2026
1. Services
All services are provided by Sivvexa, operated by Werayoot Kunphai ("Service Provider"). The scope of work, timeline, and fees for each engagement are defined in a mutually agreed Statement of Work (SOW) or quotation document.
2. Payment
Payment terms are specified in the SOW or quotation for each project. Late payment may result in delayed delivery or suspension of services. The Service Provider reserves the right to pause work if payment is more than 14 days overdue.
3. Intellectual Property
Upon receipt of full payment, the client owns all deliverables created specifically for the project. The Service Provider retains the right to use open-source tools, libraries, and general techniques that are not specific to the client's business.
4. Confidentiality
The Service Provider will keep all business and technical information received from the client confidential and will not disclose it to third parties without written consent. This obligation applies during the engagement and for two years after its conclusion.
5. Limitation of Liability
The Service Provider's liability is limited to the fees actually paid for the relevant project. The Service Provider is not liable for indirect, special, or consequential damages, including lost profits.
6. Termination
Either party may terminate the engagement with 14 days' written notice. The client is responsible for payment of all work completed prior to the termination date.
7. Governing Law
These terms are governed by the laws of Thailand. Any disputes will be resolved by the courts of competent jurisdiction in Thailand.
